Please read these Terms of Service carefully before using the Agency website or engaging our services. By accessing our website or entering into a project agreement with us, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Agency ("we", "us", "our"). By using our website or engaging our AI consultancy services, you confirm that you have read, understood, and agree to these Terms.

If you do not agree with any part of these Terms, you must not use our website or services. We reserve the right to update these Terms at any time, and we will notify you of material changes.

2. Services

Agency provides AI consultancy, automation, data analytics, chatbot development, strategy, and systems integration services to small and medium businesses. The specific scope, deliverables, timelines, and fees for each engagement will be set out in a separate Statement of Work ("SOW") or project proposal agreed between both parties before work commences.

We reserve the right to decline any project request at our discretion. We do not guarantee specific outcomes or results, though we will always use reasonable professional skill and care in delivering our services.

3. Payment Terms

Payment terms are agreed on a per-project basis and detailed in the relevant SOW or proposal. Unless otherwise stated:

• A deposit of 50% of the total project fee is due before work begins.
• The remaining balance is due upon project completion or as specified in the SOW.
• Invoices are payable within 14 days of the invoice date.
• Late payments may incur interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts Act 1998.

All fees are quoted exclusive of VAT where applicable. We reserve the right to pause work on any project where payment is more than 14 days overdue.

4. Intellectual Property

Upon receipt of full payment for a project, all custom deliverables created specifically for you under a SOW will be assigned to you. We retain ownership of our pre-existing tools, frameworks, methodologies, and general know-how, as well as any reusable components not created exclusively for your project.

You grant us a non-exclusive licence to use your data and materials solely for the purpose of delivering the agreed services.

5. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information shared during the engagement. We will not disclose your business data, trade secrets, or confidential information to any third party without your prior written consent, except as required by law.

6. Limitation of Liability

To the fullest extent permitted by law, Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total aggregate liability to you for any claim arising from a project shall not exceed the total fees paid by you for that specific project in the three months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Termination

Either party may terminate a project engagement by providing 14 days' written notice. In the event of termination:

• You will be invoiced for all work completed up to the date of termination at a pro-rata rate.
• Any non-refundable deposits or milestone payments already made are not eligible for refund.
• We will deliver all completed work product to you upon receipt of outstanding payment.

We reserve the right to terminate immediately if you breach these Terms, fail to pay outstanding invoices after reasonable notice, or engage in conduct that we reasonably consider harmful or unlawful.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
